1. Digital Product Delivery
All frameworks, assessments, playbooks, and digital tools are delivered electronically following payment confirmation. Delivery is made via secure download link or email within one business day of purchase. Bundle purchases that include advisory sessions will receive scheduling instructions within two business days.
2. Refund Policy
Due to the digital nature of our products, all sales are final. No refunds will be issued after purchase. By completing your purchase, you acknowledge and agree to this no-refund policy. If you experience a technical issue with delivery, please contact us at sori@arc-metis.com and we will resolve it promptly.
3. Permitted Use
Purchased materials are licensed for internal use within the purchasing organization only. You may share the materials with your internal team members and use them to guide your organization's AI governance efforts. You may not resell, redistribute, sublicense, or publish any purchased materials, in whole or in part, without prior written consent from ArcMetis LLC.
4. Intellectual Property
All materials, frameworks, methodologies, content, and deliverables provided by ArcMetis LLC including but not limited to the AI Readiness Assessment, AI Governance Playbook, Executive AI Governance Suite, strategic memos, scoring methodologies, four-tier risk frameworks, assessment questions, generated reports, and all underlying frameworks and templates (collectively, the "ArcMetis IP") are the proprietary intellectual property of ArcMetis LLC, protected by United States copyright law, trademark law, and applicable international treaties.
4.1 License to Customer. Upon purchase, ArcMetis LLC grants Customer a limited, non-exclusive, non-transferable, revocable license to use the purchased deliverables solely for Customer's internal business purposes. This license does not transfer ownership of any ArcMetis IP.
4.2 Restrictions. Customer shall not, and shall not permit any third party to: (a) reproduce, redistribute, publish, or resell any ArcMetis IP, in whole or in part; (b) use any ArcMetis IP to develop, train, fine-tune, or evaluate any artificial intelligence model, machine learning system, or competing assessment, framework, or advisory product; (c) remove, alter, or obscure any copyright, trademark, or proprietary notice; (d) reverse engineer, decompile, or attempt to derive the underlying methodology of any ArcMetis assessment or framework; or (e) sublicense, assign, or otherwise transfer any rights granted under this Agreement.
4.3 Trademarks. "ArcMetis" is a trademark of ArcMetis LLC. The names of ArcMetis products, frameworks, and assessments, including the AI Readiness Assessment, EA Readiness Assessment, Federal Modernization Readiness Assessment, Technology Organization Readiness Assessment, Security Architecture Rationalization Assessment, AI Governance Playbook, and Executive AI Governance Suite are claimed as common-law trademarks of ArcMetis LLC. No license to use any ArcMetis trademark or product name is granted under this Agreement.
4.4 Feedback. Any feedback, suggestions, or ideas Customer provides regarding ArcMetis products or services may be used by ArcMetis LLC without restriction or compensation.
4.5 Survival. This Section 4 survives termination or expiration of this Agreement.
5. Advisory Sessions
Complimentary and bundled advisory sessions must be scheduled within 60 days of purchase. Sessions not scheduled within this period will expire. Rescheduling is permitted with at least 24 hours notice. Advisory sessions are consultative in nature and do not constitute legal, regulatory, or compliance advice.
6. Disclaimer
ArcMetis LLC provides AI governance frameworks, tools, and advisory services for informational and strategic planning purposes. Our materials are not a substitute for legal counsel. Organizations should consult with qualified legal and compliance professionals regarding their specific regulatory obligations.
7. Free AI Readiness Assessment
The AI Readiness Assessment available at arcmetis.ai is provided free of charge for informational and self-evaluation purposes. By submitting the assessment, you consent to ArcMetis LLC collecting and storing the following information: (a) the contact information you provide (full name, work email, organization, title); (b) your responses to each assessment question; (c) your calculated dimension scores, total score, and risk classification; and (d) a record of your consent including the date, time, and consent text accepted.
ArcMetis uses this information to generate and deliver your personalized PDF report, to send occasional relevant communications about your results and related offerings, and to improve the assessment methodology over time.
Assessment data is retained for a maximum of 18 months from the date of completion, after which it is automatically deleted. ArcMetis does not sell, rent, or share assessment response data with third parties. You may request deletion of your assessment data at any time by emailing sori@arc-metis.com.
Assessment results, guidance, and frameworks remain the intellectual property of ArcMetis LLC and are licensed for your personal and internal organizational review only; they may not be republished or resold.
8. Privacy & Data Handling
ArcMetis LLC collects and stores information you submit through our websites for the following purposes: to deliver requested services, to respond to inquiries, to send occasional relevant communications, and where applicable to generate assessment reports. All data is stored using industry-standard encrypted cloud infrastructure. ArcMetis does not sell or share your information with third parties for marketing purposes.
You may request access to, correction of, or deletion of your data at any time by emailing sori@arc-metis.com. We will respond to such requests within 30 days. For specific retention periods applicable to assessment data, see Section 7.
9. Email Communications
Transactional emails (such as your AI Readiness Assessment results, order confirmations, advisory session scheduling, and delivery notifications) are sent as part of the services you have requested. Occasional informational communications regarding ArcMetis offerings, governance frameworks, and federal AI advisory updates may also be sent to email addresses you have provided. You may opt out of non-transactional communications at any time by replying to any such message or by emailing sori@arc-metis.com. Transactional emails related to active engagements may continue regardless of marketing opt-out status.
10. Service Availability
ArcMetis LLC makes reasonable efforts to maintain availability of arcmetis.ai, arc-metis.com, and all associated digital tools. However, we do not guarantee uninterrupted access. Scheduled maintenance, third-party service disruptions, or unforeseen technical issues may occasionally cause temporary downtime. ArcMetis is not liable for delays or failures caused by such interruptions.
11. Limitation of Liability
To the maximum extent permitted by law, ArcMetis LLC's liability arising from any product, service, or assessment provided shall not exceed the amount paid by you for the specific product or service giving rise to the claim. ArcMetis LLC shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
12. Changes to These Terms
ArcMetis LLC may update these Terms of Purchase from time to time. The "Last Updated" date at the top of this page reflects the most recent revision. Continued use of our services after a revision constitutes acceptance of the updated terms. Material changes affecting existing engagements will be communicated by email to active customers.
13. Governing Law
These terms are governed by the laws of the District of Columbia, United States. Any disputes arising from these terms or your use of our products and services shall be resolved in the courts located in Washington, DC.
14. AI-Assisted Service Delivery
ArcMetis configures its AI tools so that client data is not used for model training, and uses them under controlled, confidential conditions in the course of delivering its services. All work product is reviewed, validated, and owned by ArcMetis LLC, which retains full professional responsibility for every deliverable.
